Belgium has all the ingredients of a leading spin-off ecosystem: strong universities, renowned research centers, experienced investors and entrepreneurial founders. Yet in practice, spin-off formation is more difficult than it should be and the proces remains fragmented. Unlike the Netherlands or the United Kingdom, Belgium has no shared framework for how these ventures are structured. This slows down incorporation, discourages founders and investors, and demands considerable time and energy from technology transfer offices.
As practitioners with many years of expertise in structuring spin-offs and a wide range of strategic collaborations, we have taken the initiative to launch a comprehensive White Paper on the Structuring of Spin-offs in Belgium.
Building on the Dutch and UK precedents, and our experiences as lawyers within the spin-off ecosystem, we propose a principled framework: three recognizable structuring pathways, a progressive model for IP transfer, and transparent baseline principles for fair, investable deals. The aim is not uniformity, but a common language and predictable standards, with room for justified deviation.
