Cresco is proud to have advised longstanding client Main Capital Partners and its Belgian platform company RiskConcile on the successful strategic acquisition of the UK-based Substance Over Form Ltd.
This transaction further strengthens the group’s position in regulatory, risk and compliance technology for the financial sector and marks RiskConcile’s third strategic acquisition in a short period of time.
Main Capital Partners is a leading force in software investment with EUR 7 billion in assets under management, committed to continuous growth through strategic international expansion. Main Capital Partners has an investment portfolio constituted of at least 300 software investments. Main Capital Partners accomplished the acquisition through RiskConcile, its portofolio company headquartered in Leuven, wich is a leading software developer of risk and regulatory solutions for the financial sector and develops cutting-edge cloud-based software solutions that help asset and fund managers navigate complex data, risk, and regulatory requirements in the financial sector.
Substance Over Form Group has a strong reputation in LP reporting for alternative investments and provides regulatory investor reporting services and consultancy for alternative investment funds with a total fund value of over EUR 213 bilion. Through this transaction, RiskConcile further strengthens not only its position in the United Kingdom, but also in Germany.
Following the strategic acquisitions of Fitz Partners Ltd (UK) and B4Finance SAS (France) in the recent months, this add-on acquisition for RiskConcile underlines Main Capital Partners’ buy-and-build growth strategy and reinforces the group’s international footprint in financial technology solutions. RiskConcile and Substance Over Form Ltd join forces to create a pan-European RegTech leader and provider of data, regulatory and risk technology for the fund industry, combining strong domain expertise with a clear software-driven vision.
